Special Meeting
Special General Meeting of Members on the proposed amalgamation of Bay of Quinte Mutual Insurance Co. and L&A Mutual Insurance Company to form Great Waterways Mutual Insurance Company.
About the Special General Meeting
As a mutual insurance company, Bay of Quinte Mutual is owned by its policyholders, and every policyholder is a Member. The Boards of Bay of Quinte Mutual and L&A Mutual have agreed to amalgamate as one company, Great Waterways Mutual Insurance Company, effective January 1, 2027. The Members of both companies must approve the amalgamation for it to proceed.
At the Special General Meeting, Members will be asked to vote on two motions:
- To approve the Amalgamation Agreement between Bay of Quinte Mutual Insurance Co. and L&A Mutual Insurance Company (requires approval of two-thirds of Members who vote, at each company).
- To approve By-law 1 – 2027, the general by-law of Great Waterways Mutual Insurance Company (requires a simple majority).
Members may vote in person or by proxy. If you cannot attend, the Proxy Form appoints the Chair of the Board of Directors (or, failing the Chair, the Vice Chair) as your proxy holder and lets you direct how your vote is cast on each motion. The proposed amalgamation remains subject to the approval of the Financial Services Regulatory Authority of Ontario.

Proxy Form
For Members who cannot attend in person. Mark your vote on each motion, sign the form and return it by mail or email as instructed on page 2 so that it arrives no later than 5:00 p.m. on October 16, 2026.
